These Terms of Service (the “Terms”) govern your access to and use of the services provided by Northshire Livestock Ltd (“Northshire Livestock Ltd”, “we”, “us”, or “our”). By engaging our services, requesting a quotation, placing an order, making a booking, or otherwise using any service provided by Northshire Livestock Ltd, you agree to be bound by these Terms.
If you do not agree with these Terms, you must not use our services. If you are entering into an agreement on behalf of a business, partnership, or other legal entity, you confirm that you have authority to bind that entity to these Terms.
2. Scope of services
Northshire Livestock Ltd provides livestock-related services, which may include, without limitation:
- Livestock sourcing and procurement;
- Cattle and sheep handling support;
- Animal transport coordination;
- Herd health and welfare guidance;
- Farm supply and livestock equipment support;
- Seasonal market advice and sales assistance.
We may provide services directly or coordinate third-party suppliers, hauliers, agents, veterinarians, or other service providers where appropriate. Any third-party services are subject to the third party's own terms and conditions, and we are not responsible for the acts or omissions of independent third parties unless required by applicable law.
All services are provided subject to availability, animal welfare considerations, legal and regulatory requirements, weather, transport conditions, market conditions, and operational constraints. We reserve the right to decline, suspend, or modify any service where we reasonably determine that doing so is necessary for animal welfare, safety, compliance, or operational reasons.
3. User obligations and responsibilities
You agree that you will:
- Provide accurate, complete, and timely information relevant to the services requested;
- Ensure that all animals involved are lawfully owned, identified, and fit for the intended purpose, unless otherwise agreed in writing;
- Maintain appropriate premises, handling facilities, access routes, and biosecurity measures;
- Comply with all applicable animal welfare, transport, identification, movement, health, and safety laws and regulations;
- Ensure that any person acting on your behalf is suitably authorised and competent;
- Promptly notify us of any known disease, injury, welfare issue, unsafe condition, or legal restriction affecting livestock or premises;
- Cooperate with reasonable instructions given to protect animal welfare, staff safety, and service quality.
You must not:
- Provide false, misleading, or incomplete information;
- Request or permit any unlawful handling, transport, sale, or procurement of livestock;
- Interfere with our staff, contractors, equipment, or transport arrangements;
- Use our services in a way that could damage our reputation, operations, or legal compliance;
- Introduce animals, equipment, or substances that pose a health or biosecurity risk without prior disclosure and approval.
You are solely responsible for the suitability of animals, facilities, and instructions provided to us, except to the extent that we have expressly assumed responsibility in writing.
4. Payment terms and conditions
Unless otherwise agreed in writing, all fees, charges, and expenses are payable in accordance with the quotation, invoice, booking confirmation, or service agreement provided by Northshire Livestock Ltd.
- Prices may be quoted exclusive of VAT and any other applicable taxes, duties, levies, or charges unless stated otherwise.
- We may require deposits, advance payment, or part-payment before commencing services, especially for transport coordination, procurement, or seasonal market activity.
- Invoices must be paid by the due date stated on the invoice. Time for payment is of the essence.
- If payment is late, we may charge interest on overdue sums at the maximum rate permitted by law, together with reasonable recovery costs.
- We may suspend or withhold services, delivery, or coordination until all outstanding sums are paid in full.
- You are responsible for any bank charges, foreign exchange costs, card fees, or intermediary charges associated with payment, unless otherwise agreed.
Any estimate or quotation is based on information available at the time and may be revised if the scope of work changes, if additional costs arise, or if market, transport, welfare, or legal conditions change.
5. Cancellation and refund policy
Cancellations must be made in writing to Northshire Livestock Ltd using the contact details set out in these Terms. Any cancellation may be subject to charges depending on the stage of performance, commitments already made, and losses incurred.
- If you cancel a booked service before we have incurred costs or reserved resources, we may, at our discretion, refund any amounts paid less any administrative fees.
- If cancellation occurs after procurement, transport, staffing, equipment booking, or third-party commitments have been arranged, you may remain liable for all reasonable costs and non-recoverable expenses.
- Customised services, urgent services, perishable arrangements, and livestock-related coordination may be non-refundable once work has commenced.
- Refunds, where applicable, will be processed using the original payment method unless otherwise agreed.
We may cancel or reschedule a service where necessary for welfare, safety, legal compliance, force majeure, or operational reasons. In such cases, we will use reasonable efforts to notify you promptly and discuss alternatives. Unless otherwise required by law, our liability for cancellation will be limited to the amounts paid for the cancelled service that have not already been reasonably incurred or committed.
6. Liability limitations
To the fullest extent permitted by law, Northshire Livestock Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive losses or damages, including loss of profit, loss of business, loss of production, loss of goodwill, or loss of anticipated savings, arising out of or in connection with the services or these Terms.
Nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation;
- Any liability that cannot be excluded or limited under applicable law.
Subject to the paragraph above, our total aggregate liability arising out of or in connection with any service, whether in contract, tort, negligence, breach of statutory duty, or otherwise, shall be limited to the total amount paid or payable by you for the specific service giving rise to the claim, except where a different limit is required by applicable law.
We do not guarantee market prices, sale outcomes, animal performance, transport timings where affected by external conditions, disease-free status unless expressly warranted, or the actions of third parties, authorities, or market operators.
7. Intellectual property rights
All intellectual property rights in our website, documents, templates, reports, pricing materials, service descriptions, methods, branding, and other materials provided by Northshire Livestock Ltd remain our property or the property of our licensors, unless expressly agreed otherwise in writing.

We take reasonable technical and organisational measures to protect personal data, but no system can be guaranteed to be fully secure. Where we share data with third-party suppliers, authorities, transport providers, or professional advisers, we will do so only as reasonably necessary for the provision of services or as required by law.
For any privacy-related enquiries, please contact us using the details provided in Section 12. If a separate privacy policy applies, it should be read together with these Terms.
9. Force majeure
Northshire Livestock Ltd shall not be liable for any delay or failure to perform our obligations where such delay or failure arises from circumstances beyond our reasonable control, including but not limited to:

- Transport disruptions, strikes, labour shortages, or fuel supply issues;

Where a force majeure event occurs, we will use reasonable efforts to mitigate its effects and resume performance as soon as reasonably practicable. If the event continues for an extended period, either party may be entitled to suspend or terminate the affected service on reasonable notice.
10. Changes to terms
We may update, revise, or replace these Terms from time to time to reflect operational, legal, regulatory, or business changes. The latest version will be made available on request or through our usual customer communications channels.
Unless a change is required immediately for legal, safety, or operational reasons, we will use reasonable efforts to provide advance notice of material changes. Continued use of our services after the effective date of any updated Terms constitutes acceptance of the revised Terms.
11. Applicable law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory legal rights you may have under applicable law.
